1. Agreement to Terms
These Terms of Service ("Terms") govern your access to and use of the website sopstandard.com and any advisory or execution services offered by SOP Standard, operated by Alexander Brosinger ("we," "us," or "our"). By accessing or using the website or booking an audit, you agree to be bound by these Terms.
2. Nature of Services
SOP Standard provides high-performance B2B operational architecture, owner independence consulting, process documentation (SOPs), AI workflow automation, and management layer integration for established businesses. The Owner Independence Audit and subsequent builds are management consulting and technical delivery services. They do not constitute formal business appraisals, legal counsel, investment advice, or tax consulting. Specific deliverables, timelines, and commitments are governed by individual client agreements and statements of work.
3. Client Responsibilities
Clients agree to provide accurate operational briefings, tool access credentials (via secure channels), and active participation during interview phases in a timely manner. Timely delivery depends strictly upon client responsiveness during scheduled audit sprints.
4. Fees & Credit Policy
All fees are quoted in USD unless agreed otherwise. The $2,500 diagnostic audit fee is non-refundable once the intake process has commenced, but is 100% credited toward a 90-day Owner Independence Build if commissioned within 60 calendar days of audit delivery.
5. Intellectual Property
Upon full settlement of all outstanding fees, the client receives exclusive usage rights to all custom SOP libraries, workflow automations, and operational artifacts built specifically for their company. SOP Standard retains ownership of pre-existing frameworks, diagnostic scoring methods (including the Owner Independence Score™), and reusable code patterns.
6. Disclaimer of Warranties
Services are provided on an "as is" and "as available" basis. While our systems are designed to maximize enterprise value and operational autonomy, we make no express or implied warranty regarding future company valuations, third-party acquisition offers, or specific EBITDA multipliers achieved during a sale.
7. Limitation of Liability
To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to our services shall not exceed the total fees paid by the client under the specific agreement giving rise to the claim. We shall not be liable for indirect, incidental, consequential, or punitive damages, including lost profits or business interruptions.
8. Governing Law & Jurisdiction
These Terms and all disputes arising thereunder shall be governed exclusively by the laws of the Federal Republic of Germany, excluding its conflict of laws provisions. The place of jurisdiction for commercial entities is Braunschweig, Germany.
